You agree to indemnify, defend and hold Spark Shield, together with its directors, POSPs, owners, employees, information providers, licensors, licensees and affiliates (collectively, the "Indemnified Parties"), harmless from and against liabilities, claims, losses, damages and costs incurred in connection with any breach of this Agreement or the representations, warranties and covenants contained herein, including reasonable attorneys' fees and legal expenses, to the extent permitted by applicable law.

You agree to fully and unconditionally cooperate in the defence of any such claim as may reasonably be required.

Spark Shield reserves the right, at its own expense, to assume exclusive defence and control of any matter otherwise subject to indemnification by you. In such circumstances, you shall not settle or compromise such matter without the prior written consent of Spark Shield.

To the extent permitted by applicable law, you acknowledge and agree that Spark Shield, along with its subsidiaries, affiliates, officers, employees, POSPs, partners and licensors, shall not be held liable for direct, indirect, incidental, special, consequential or exemplary damages, including loss of profits, goodwill, usage, data or other intangible losses, arising from or in connection with use of the website, its content or related services, even if Spark Shield has been advised of the possibility of such damages.

The content, products and services published on the website or mobile application may contain inaccuracies or errors, including pricing errors. Spark Shield disclaims liability and warranties for errors or inaccuracies in information made available through the website or mobile application, to the extent permitted by applicable law.

Spark Shield reserves the right to correct pricing errors on the website, mobile application or pending transactions made under an incorrect price.

Spark Shield makes no representation regarding the suitability of information, software, products or services contained on the website or mobile application for any particular purpose. The inclusion or offering of products or services does not constitute an endorsement or recommendation unless expressly stated. Content and assets are provided on an "AS IS" basis, subject to applicable law.

There is no guarantee or warranty regarding uninterrupted online availability, impressions or click-through of the Spark Shield application, website pages or any material, information, links or content presented through them. Such information or services may be unavailable for online access at any time.

Spark Shield reserves the authority to make modifications, revisions, additions or exclusions to these Terms of Use from time to time at its discretion. We may update these Terms of Use to reflect changes in our information practices, legal requirements or services, and encourage users to review them periodically.

The trademarks, logos and service marks ("Marks") displayed on the website or mobile application are the property of Spark Shield and/or the respective owners, associated parties or service providers. Users are prohibited from using any Marks without prior written permission from Spark Shield or the relevant owner.

All information and content, including software programs available on or through the website or mobile application ("Content"), may be protected by copyright and other applicable intellectual property laws. Users are prohibited from modifying, duplicating, sharing, trading, permitting, transmitting, advertising, publishing, creating derivative works from or commercially using Content without appropriate authorization.

Spark Shield may, at its sole discretion and subject to applicable law, suspend or terminate your access to all or part of the website, mobile application and services with or without notice and for any reason, including breach of this Agreement.

Suspected illegal, fraudulent or abusive activity may be grounds for termination and may be referred to appropriate law enforcement or regulatory authorities where required.

Upon suspension or termination, your right to use the relevant resources may immediately cease, and Spark Shield reserves the right to remove or delete information held on file with us, including account or login information, subject to applicable retention requirements.

Notwithstanding other provisions of this Agreement or general legal principles, provisions that by their nature impose continuing obligations on a party shall survive expiry or termination of this Agreement.

If any provision of these Terms is deemed invalid, void or unenforceable for any reason, the parties agree that the remaining provisions shall continue to the extent permitted by law, and the unenforceable provision shall be treated as severable.

The headings are for reference purposes only and do not limit the scope or extent of any section.

These Terms of Use and the relationship between you and Spark Shield shall be governed by the laws of India, without regard to conflict of law provisions. You and Spark Shield agree to submit to the jurisdiction of the competent courts in Mumbai, Maharashtra, in relation to legal proceedings arising in connection with these Terms, subject to applicable law.

Failure by Spark Shield to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches.

These Terms constitute the complete agreement between you and Spark Shield concerning use of the website and supersede prior agreements relating to such use, to the extent applicable.

By using the Spark Shield website, portal, mobile application or services, you accept these Terms of Use. If you do not agree with the terms mentioned above, you should not use the website, portal, mobile application or services. Your continued use following publication of changes shall be deemed acceptance of the revised terms.
